General Terms and Conditions of Sale
The company SAS SYNNEO, with a share capital of €30,270,350.80, registered with the Trade and Companies Register of Melun under number B 915 012 231, Intra-Community VAT number: FR 46 915 012 231 (hereinafter referred to as the "Seller") makes available to its Customers via its website https://manitowoc-shop.eu/ (hereinafter the "Site") products or services (hereinafter the "Products" or "Services").
It is specified in advance that these General Terms and Conditions of Sale (hereinafter the "GTC") exclusively govern the sale of Products or Services on the Site.

Any user visiting the Site and potentially interested in the Products and Services offered is invited to read these GTC carefully. They are invited to print and/or save them on a durable medium before placing an order on the Site.
The Customer acknowledges having read the GTC and accepts them in full and without reservation.
Application of the GTC
The Seller reserves the right to modify the GTC at any time by publishing a new version on the Site. The GTC applicable to the Customer are those in force on the day the order is placed on the Site.
The Site offers the online sale of the following products:
- Promotional items and corporate gifts
Access to the Site is free of charge for any Customer.
Acceptance of these GTC implies that Customers have the necessary legal capacity. If the Customer is a minor or does not have such legal capacity, they declare that they have authorization from a guardian or legal representative.
The Customer acknowledges the evidential value of the Seller’s automatic recording systems and, unless proven otherwise, waives the right to contest them in the event of a dispute.
Prices and payment terms
1.1 - Pricing
Prices of the Products and/or Services are indicated in euros excluding VAT.
SYNNEO reserves the right to modify its prices at any time and to pass on, where applicable, any change in the applicable VAT rate to the price of the Products or Services offered on the Site. However, products will be invoiced on the basis of the rates in force at the time the order is validated. Prices are displayed excluding processing and shipping costs.
For orders delivered outside mainland France, the Customer is considered the importer of the product(s). For products shipped outside the European Union and French overseas territories, the price will automatically be calculated excluding taxes on the invoice. Customs duties or other local taxes or import duties may be payable. These charges are not the responsibility of SYNNEO. They are the sole responsibility of the Customer, both in terms of declarations and payments to the competent authorities in their country. Customers are advised to inquire with their local authorities.
1.2 - Late payment penalties
In the event of late payment by a professional Customer, the Seller may suspend all current orders without prejudice to any other course of action.
Any sum not paid by the due date set out in these GTC shall automatically, without formality or prior notice, as from the day following the payment date stated on the invoice, give rise to late payment penalties equal to the rate applied by the European Central Bank to its most recent refinancing operation plus ten percentage points.
The Seller reserves the right to claim additional compensation if the recovery costs incurred exceed this amount.
This penalty is calculated on the amount including VAT remaining due and accrues from the due date without prior notice being required.
In addition to late payment penalties, a fixed compensation of €40 for recovery costs shall also be due automatically and without prior notification.
